Acceptance of Terms

By accessing and using the website and services of alphavortis AG ("alphavortis", "we", "our", or "us"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and alphavortis AG, a company registered in Austria with registration number FN619875a, having its registered office at Rotenturmstraße 57, 8024 Graz, Styria, Austria.

Description of Services

alphavortis provides business revenue forecasting models, predictive analytics, and related consulting services. Our services include but are not limited to:

• Predictive revenue modelling and forecasting
• Scenario planning and analysis
• Risk assessment and management
• Custom analytics solutions
• Business intelligence consulting
• Data analysis and interpretation services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with appropriate notice to clients.

User Obligations

When using our website and services, you agree to:

• Provide accurate, current, and complete information when requested
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorised access to any part of our services

Intellectual Property

You are granted a limited, non-exclusive, non-transferable licence to access and use our services for your business purposes. This licence does not include the right to:

• Reproduce, distribute, or publicly display our content without permission
• Modify, reverse engineer, or create derivative works from our services
• Use our intellectual property for competitive purposes
• Remove or alter any copyright, trademark, or other proprietary notices

Any feedback, suggestions, or improvements you provide regarding our services may be used by alphavortis without compensation or attribution.

Payment Terms

Payment terms for our services will be specified in separate service agreements or proposals. Unless otherwise agreed:

• All fees are quoted in Euros (EUR) and are exclusive of applicable taxes
• Payment is due within 30 days of invoice date unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month
• We reserve the right to suspend services for non-payment

Confidentiality

We understand that our services may involve access to confidential business information. alphavortis agrees to maintain the confidentiality of your proprietary information and will not disclose such information to third parties without your consent, except as required by law.

Similarly, you agree to maintain the confidentiality of our methodologies, models, and any proprietary information shared during the provision of our services.

Limitation of Liability

To the maximum extent permitted by law, alphavortis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of our services.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you to alphavortis in the twelve (12) months preceding the event giving rise to the claim.

We provide our forecasting services based on available data and established methodologies. While we strive for accuracy, we cannot guarantee the precision of forecasts, as they are inherently subject to market uncertainties and external factors beyond our control.

You acknowledge that business forecasting involves inherent uncertainties and that you use our services at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless alphavortis, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles.

Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Graz, Austria.

For clients located within the European Union, nothing in these Terms shall affect your rights as a consumer under applicable EU consumer protection laws.

Termination

Either party may terminate these Terms and any associated service agreements with appropriate notice as specified in individual contracts. In the absence of specific termination clauses, either party may terminate with 30 days' written notice.

We reserve the right to immediately terminate or suspend your access to our services if you breach these Terms or engage in any unlawful or harmful activities.

Upon termination:

• Your right to use our services will cease immediately
• You must pay any outstanding fees for services rendered
• Both parties must return or destroy confidential information
• Provisions relating to intellectual property, confidentiality, and limitation of liability shall survive termination

Force Majeure

Neither party shall be liable for any failure to perform their obligations under these Terms if such failure results from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or pandemic-related restrictions.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting the updated Terms on our website and updating the "last updated" date.

Your continued use of our services after any modifications constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of our services.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between you and alphavortis regarding the use of our services and supersede all prior agreements and understandings.
